New U.S. facility in a new Chinese development spells “win-win” for everyone

When Shanghai developed a deepwater harbor addition to its overall port facilities, it also created a 30,000-acre manufacturing and logistics zone called Lingang New City.  Lingang had retained Jones Lang LaSalle to help spur development in the new parcel, and one of the brightest prospects was Preferred Freezer Services (PFS), one of the five largest cold storage warehousing firms in the U.S.  Our project team had built a level of trust with PFS to the extent that we were engaged to represent them as well in what would be a client-to-client transaction to develop a PFS facility in Lingang.

Mobilizing our own international team of on-the-ground experts in the U.S. and China, we were able to maximize our relationship with Chinese government stakeholders to facilitate capital registration and establishment of a joint venture with Chinese partners.  Our team negotiated commercial terms for a build-to-suit warehouse, developing memorandums of understanding, framework agreements, build-to-suit leases and other China-specific documentation in a manner that satisfied both parties.  After we procured some incentives for PFS, the deal was struck and we represented both sides in the transaction.  PFS broke ground in mid-2009 on a new 250,000 square foot, 65 foot tall fully automated freezer building.  PFS was so satisfied with the initiative that the company has since engaged our team to transact a 20-year lease for another build-to-suit at Waigaoqiao FTZ, China’s largest free trade zone, and three more locations are under consideration.
